Terms of Service

These Terms of Service ("Terms") govern access to and use of the Connecting Partner Portal ("Portal", "Service"), a proprietary software tool operated by Connecting ("we", "us", "Operator"), a business facilitation service registered and operating in Bucharest, Romania.
By logging in to the Portal or using any of its features, you ("User", "Partner") confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Portal.
2. Description of the Service
The Partner Portal is a private, invitation-only software-as-a-service (SaaS) tool that enables authorised partners to:
- Upload Excel (.xlsx) files containing commission-related financial data
- Automatically calculate commission amounts using configured rates and exchange rates
- Generate, store, and manage financial reports in EUR and RON
- Create, preview, and export professional invoices
- Synchronise reports across authorised devices via encrypted cloud storage
- Track client activity and manage commission sub-distributions
The Portal is not a public service. Access is strictly limited to individuals explicitly authorised by the Operator.
3. Access and Authentication
Access to the Portal requires a password set by the authorised user, stored securely on the user's own device. Optionally, a time-based two-factor authentication (TOTP/2FA) code may be enabled for enhanced security.
- You are solely responsible for maintaining the confidentiality of your Portal password
- You must not share your Portal access credentials with any unauthorised person
- You must notify the Operator immediately if you suspect unauthorised access to your account
- The Operator reserves the right to revoke access at any time without prior notice
Access is device-local: authentication state is maintained via your browser's sessionStorage and is cleared when you close your browser.
4. Data Ownership and Responsibility
4.1 Your Data
All financial data you upload, reports you generate, and invoices you create ("Your Data") remain your property at all times. The Operator does not claim any ownership over Your Data.
4.2 Data You Upload
You represent and warrant that:
- You have the legal right to upload and process the financial data contained in any files you submit
- The data does not violate any applicable laws, regulations, or contractual obligations
- You have obtained all necessary consents where the data relates to third parties
4.3 Data Accuracy
The Portal performs calculations based on the data you provide and exchange rates retrieved from the National Bank of Romania (BNR). All results are for informational purposes only. The Operator does not guarantee the accuracy, completeness, or fitness for any particular purpose of any calculation, report, or invoice generated by the Portal. You are solely responsible for verifying outputs before relying on them for business or legal purposes.
5. Cloud Storage and Synchronisation
The Portal optionally synchronises your reports to Netlify Blobs, a cloud storage service operated by Netlify Inc. (USA). This enables shared access across authorised devices. By enabling cloud sync (by entering an API key in Settings), you acknowledge and agree that:
- Your report data is transmitted to and stored on Netlify's servers, encrypted in transit via HTTPS/TLS
- Netlify processes this data as a sub-processor under its own terms of service and data processing agreement
- You are responsible for ensuring that any data you sync to cloud storage complies with your own obligations to any third parties whose data may be included
Cloud sync is optional. You may use the Portal in local-only mode without syncing any data externally.
6. Local Storage and Browser Data
The Portal stores certain data in your browser's localStorage, including:
- Your portal password (in plain text — you are responsible for device security)
- Commission reports and financial data
- Invoice records and settings
- Activity logs (last 50 entries)
- API key for cloud synchronisation
This data is stored on your device and is accessible to anyone with physical or remote access to your browser. You are solely responsible for securing your device and browser.
You may delete all local data at any time via Settings → Backup → Delete All Data, or by clearing your browser's localStorage for this site.
7. Financial Calculations and Exchange Rates
Commission calculations performed by the Portal use:
- Exchange rates published by the National Bank of Romania (BNR) — rates are fetched on each upload session and may not reflect real-time market rates
- Commission rates configured by you in Portal Settings
- Financial data extracted from your uploaded files
The Portal is a calculation aid, not a licensed accounting or financial advisory tool. Results must be independently verified before use in any formal financial, legal, or tax context. The Operator is not liable for any commercial decision made based on Portal outputs.
8. Invoice Generation
Invoices generated by the Portal are created from templates using data you provide and data stored in your settings. They are for convenience only. The Operator does not guarantee that generated invoices meet the legal requirements of any particular jurisdiction, including Romania. You are solely responsible for ensuring that invoices issued to clients comply with applicable Romanian tax law (including VAT/TVA regulations under the Romanian Fiscal Code), EU accounting standards, and any other applicable regulations.
9. Intellectual Property
All source code, design, structure, and functionality of the Partner Portal are the exclusive intellectual property of the Operator. You are granted a limited, non-exclusive, non-transferable licence to use the Portal solely for the purposes described in these Terms. You may not:
- Copy, modify, or distribute the Portal's source code or design
- Reverse-engineer or attempt to extract the Portal's underlying algorithms
- Use the Portal to build a competing product or service
- Resell or sublicence access to the Portal without express written consent
10. Availability and Maintenance
The Portal is provided "as is" and "as available". The Operator makes reasonable efforts to maintain availability but does not guarantee uninterrupted access. The Operator reserves the right to:
- Perform maintenance, updates, or modifications at any time
- Temporarily suspend access for technical, security, or operational reasons
- Permanently discontinue the Portal with reasonable advance notice to active users
11. Limitation of Liability
To the maximum extent permitted by applicable law, the Operator shall not be liable for:
- Any loss of data resulting from device failure, accidental deletion, or browser data clearing
- Any financial loss arising from reliance on Portal calculations, reports, or invoices
- Any loss arising from unauthorised access to your Portal credentials
- Any service interruptions, including those caused by Netlify infrastructure or third-party dependencies
- Any indirect, incidental, consequential, or punitive damages of any kind
12. Data Protection and GDPR
The Operator processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and Romanian Law no. 190/2018. For full details of how data is collected, used, stored, and protected within the Portal context, please refer to our Privacy Policy.
Users have the right to request access to, correction of, or deletion of their data at any time. Requests should be submitted to privacy@partnerup.ro. We will respond within 30 calendar days.
13. Acceptable Use
You agree not to use the Portal to:
- Upload or process data that is fraudulent, illegal, or obtained without proper authorisation
- Attempt to circumvent authentication mechanisms or access controls
- Generate invoices or reports intended for use in tax evasion or financial misrepresentation
- Introduce malicious code, conduct security attacks, or attempt to overload Portal infrastructure
- Share Portal access with any person not explicitly authorised by the Operator
Violation of these acceptable use obligations may result in immediate revocation of access without refund or notice.
14. Modifications to Terms
The Operator reserves the right to update these Terms at any time. The "Last updated" date and version number at the top of this page reflects the current version. Continued use of the Portal following an update constitutes acceptance of the revised Terms. If you do not agree to an update, you must stop using the Portal.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Romania, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania.
